General Terms and Conditions (GTC)

1. Scope
These General Terms and Conditions apply to all services and contracts between ForgeOne e.U. (hereinafter “Provider”) and its customers in the areas of IT consulting, infrastructure planning, implementation, support, and managed services.

2. Scope of Services
The Provider delivers services according to the individual customer order, in particular:
Planning and implementation of IT infrastructures (on-premises, cloud, hybrid)
Installation and configuration of systems
Lifecycle management and configuration automation
Support, maintenance, and IT consulting
Details of the agreed services are defined in the respective offer or project contract.

3. Conclusion of Contract
A contract is concluded through written acceptance of an offer, by order confirmation, or by actual use of the service.

4. Prices and Payment Terms
Unless otherwise agreed, prices are based on the current offer. Invoices are due for payment within 14 days of the invoice date without deduction, unless otherwise agreed.

5. Customer’s Duties to Cooperate
The customer undertakes to provide all information, access, and resources necessary for service delivery in a timely manner. Delays caused by lack of cooperation will extend the agreed deadlines accordingly.

6. Availability and Response Times
Support services are provided within the framework of agreed Service Level Agreements (SLAs). Without an SLA, response times will be according to commercially reasonable standards.

7. Liability
The Provider is liable only in cases of intent or gross negligence. Liability for data loss exists only if the customer has performed regular, verifiable backups. Liability for consequential damages, lost profits, or indirect damages is excluded to the extent permitted by law.

8. Warranty
For delivered services, the statutory warranty period of 12 months from acceptance applies. In the case of justified defects, the Provider will remedy the defect or provide a replacement at its discretion.

9. Confidentiality and Data Protection
The Provider undertakes to maintain confidentiality regarding all information received in the course of the cooperation. Personal data will be processed exclusively in accordance with GDPR.

10. Usage Rights and Open-Source Components
The Provider may use open-source components (e.g., Ansible), whose licensing terms must be observed. For individually created configurations, the customer receives a non-exclusive right of use.

11. Jurisdiction and Applicable Law
Austrian law applies. The place of jurisdiction for all disputes is Vienna, unless mandatory legal provisions dictate otherwise.

12. Final Provisions
Amendments or additions to these GTC must be made in writing. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
